1. Agreement

These Terms of Use ("Terms") are a binding agreement between you and M K DEE TCH TECHNOLOGY SOLUTIONS ("we", "us") governing access to and use of ClipBoss (the "Service").

By creating an account, signing in, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Service description

ClipBoss is a cloud platform that helps users plan, generate, edit, and publish short-form video and carousel content using AI tools and connected social accounts. Features may include content plans, token-based generation, versioning, scheduling, and posting to third-party platforms.

We may change, suspend, or discontinue features at any time. We do not guarantee uninterrupted availability or specific output quality from AI providers.

3. Eligibility and accounts

  • You must be at least 16 years old (or the age of digital consent in your country) and able to form a binding contract.
  • You must provide accurate account information and keep credentials secure.
  • You are responsible for all activity under your account.
  • One person or legal entity may not share accounts in a way that violates plan limits or fair use.

4. Tokens, plans, and payments

Certain features consume tokens or require a paid plan (such as Pro or Ultra). Plan details, token amounts, and prices are shown in the Service and may change with notice.

Payments are processed in USDT on the TRC20 network to the wallet address shown at checkout. You must send the exact amount indicated; we use unique amount suffixes to match payments. Cryptocurrency transactions are irreversible.

Tokens and subscriptions are generally non-refundable except where required by applicable law or explicitly stated otherwise. Unused tokens may expire or reset according to your plan rules displayed at purchase.

We do not provide investment, tax, or legal advice regarding cryptocurrency.

5. Acceptable use

You agree not to use the Service for unlawful or prohibited purposes, including but not limited to:

  • Unlawful, harmful, fraudulent, or deceptive activity.
  • Content that infringes intellectual property, privacy, or publicity rights of others.
  • Illegal content, including child sexual abuse material, terrorism promotion, or violations of connected platforms' rules.
  • Harassment, threats, defamation, or discrimination.
  • Bypassing token billing, rate limits, security controls, or accessing other users' data.
  • Reverse engineering, scraping, or overloading the Service except as permitted by law.
  • Reselling or sublicensing the Service without our written permission.

We may suspend or terminate accounts that violate these rules.

6. Your content

You retain ownership of prompts, uploads, and other materials you provide ("User Content"). You grant us a worldwide, non-exclusive license to host, process, reproduce, and display User Content solely to operate and improve the Service, including sending it to AI and publishing providers at your direction.

You represent that you have all rights necessary for User Content and that its use through the Service does not violate law or third-party rights.

7. AI-generated output

AI outputs may be inaccurate, incomplete, biased, or unsuitable for your purpose. You are solely responsible for reviewing, editing, and approving content before publication.

We do not guarantee that AI-generated content is original, non-infringing, or compliant with advertising, disclosure, or platform policies. You must comply with applicable labeling rules (for example, AI disclosure where required).

To the extent permitted by law, we assign to you our rights in outputs generated specifically for your account from your inputs, subject to third-party provider terms that may apply to underlying models or assets.

8. Third-party platforms and services

Connecting YouTube, Instagram, TikTok, or other networks requires compliance with their terms and API policies. We are not responsible for actions those platforms take regarding your account or content.

Publishing is performed at your request. You control captions, titles, and scheduling where the Service provides such options.

9. Our intellectual property

The Service, including software, design, branding, and documentation (excluding User Content and your outputs as described above), is owned by M K DEE TCH TECHNOLOGY SOLUTIONS or its licensors. You receive a limited, revocable, non-transferable license to use the Service according to these Terms.

10. Suspension and termination

You may stop using the Service and request account deletion by contacting us.

We may suspend or terminate access for violation of these Terms, non-payment, risk to the Service, legal requirements, or prolonged inactivity, with or without notice where permitted.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including limitations of liability) will survive.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL MEET YOUR EXPECTATIONS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD 100, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

13. Indemnification

You will defend, indemnify, and hold harmless us and our affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of third-party rights or platform rules.

14. Governing law and disputes

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country apply.

Disputes shall be subject to the exclusive jurisdiction of the competent courts in Hurghada, Egypt, unless applicable law requires otherwise. You may also have rights to bring claims in your country of residence where consumer law mandates.

15. Changes

We may update these Terms. The revised version will be posted with an updated date. Material changes may be notified through the Service or email. Continued use after the effective date constitutes acceptance.
